To Whom it May Concern:

Mr. Park B. Romney became associated with our organization in [hire month, and year] when he was hired as Corporate Controller of [Parent Company] and affiliated companies.

This was an extremely difficult and challenging time for our complex organization, which had, prior to Mr. Romney's association with [Company], become involved in extensive litigation. To further complicate things; we were in the process of relocating our Corporate offices to the Coachella Valley from Irvine, CA.; virtually all accounting and financial staff had been or were in the process of being replaced; we were in the middle of an SEC required public audit being conducted by Coopers and Lybrand of Newport Beach; and a significant portion of our books and records were inaccessible due to complications of our litigation. The situation was considered by many to be "impossible".

Mr. Romney played a very significant role in re-assembling our accounting and financial department and helping us keep things together during this most difficult time.

Our public audit was completed with an unqualified opinion, and all reports were filed on time with the SEC. This alone, was a major accomplishment and our auditors gave Mr. Romney high marks for his role in getting the job done with very limited staff.

In the summer of [year] Mr. Romney replaced himself with another controller and was promoted to Senior Vice President - Finance.

In April of [year] Mr. Romney organized his own company and became President of that company which has played a role in significant financial restructuring efforts for [Parent Company].

Mr. Romney continues to serve our organization in a variety of areas including the administration of our real estate holdings, financing programs, and he has been called on a number of times to testify in [Company] related litigation and consult with our attorneys about [Company's] business.

Mr. Romney has a strong financial background, and an uncommon depth of knowledge and experience in a variety of related areas. He is organized, and knows how to organize information and situations into meaningful reports and manageable assignments. He is an excellent communicator, especially in writing, and is comfortable dealing with attorneys, executives, bankers, and other corporate officers in challenging situations.

In short Mr. Romney has been a significant asset to our organization and we hope our association will continue for years to come. At the same time we recognize his desire to pursue other opportunities. We recommend him highly.
